Terms governing the purchase and delivery of GCA USG Registration Services.
These Registration Services Terms (the "Registration Terms") govern the purchase and delivery of the USG Registration Services of Government Contracting Authority LLC ("GCA"), and the GCA Arsenal access that comes with certain packages. The purchasing organization (the "Client") accepts them by signing a GCA Registration Services Order Form (an "Order Form"), by paying a GCA invoice for Registration Services, or by accepting them in writing in any other way. GCA and the Client are each a "Party".
The individual who places the order confirms that they are authorized to bind the Client.
Registration Services are offered only to businesses and other organizations purchasing for commercial purposes. They are not offered to consumers. By ordering, the Client confirms that it is acting for purposes relating to its trade, business, or profession. Consumer withdrawal and cooling-off rights therefore do not apply. The Client's cancellation rights are in Section 13 and in the Refund and Cancellation Policy.
If documents conflict, they apply in this order:
On any matter relating to Registration Services, these Registration Terms control over the Terms of Service. In particular, Registration Services fees are payable in advance (not Net-30), and Section 20 (Governing Law and Disputes) replaces Sections 12 and 13 of the Terms of Service and the Dispute Resolution Policy.
The U.S. Government and NATO do not charge any fee to register in the Government Systems. Any organization may register itself directly, at no cost, and GCA publishes a free guide for organizations that choose to do so.
6.1 NCAGE and SAM. Review of the Client's corporate registry extract, articles, ownership records, and address evidence; one master record of the Client's legal name, legal form, address, and ownership; preparation and follow-up of the NCAGE code request with the responsible National Codification Bureau, through to synchronization with the U.S. Defense Logistics Agency CAGE system; Unique Entity ID (UEI) validation, including any validation ticket; preparation of the SAM.gov entity registration, including core data, assertions, points of contact, banking information, ownership, and the FAR and DFARS representations and certifications for the Client's approval; and responses to government queries raised during processing.
6.2 Full USG Registration. Everything in 6.1, plus:
6.3 Pre-Engagement Registration. Everything in 6.2, plus, during the Access Year:
The Pre-Engagement Package Fee is credited under Section 11.4. The Package is non-exclusive and carries no obligation to proceed with an Engagement.
6.4 Included with an Engagement. Clients with an active Engagement receive the services in 6.2 at no additional charge for the life of the Engagement.
6.5 Service period. For the NCAGE and SAM Package, GCA performs the services until the registrations are active and all government queries raised during processing have been answered, or for one hundred eighty (180) days from the Payment Date, whichever is earlier. For the Full and Pre-Engagement Packages, the services run for the Access Year, including the renewal in 6.2. An RFI response or QMat not requested within the Access Year expires unused.
The GCA Arsenal is an online service that GCA hosts and operates. During the Access Year, the Client's named users may sign in with a one-time email code and use it as part of the services. Access includes:
No software is delivered to, installed for, or licensed to the Client. The Client does not receive any right to copy, modify, distribute, sublicense, or resell the GCA Arsenal or any part of it. GCA may improve, change, or replace features during the Access Year, provided the overall service is not materially reduced. GCA Arsenal access does not include proposal development, capture, or any other service provided under an Engagement. Access ends at the close of the Access Year unless renewed or continued under an Engagement. The Acceptable Use Policy applies.
Unless agreed in writing, Registration Services do not include:
The accuracy of every registration depends on the Client. The Client agrees to:
Delays caused by incomplete information or late responses do not extend the service period, the Access Year, or the Credit Window, and do not entitle the Client to a refund.
Representations and certifications made in the Government Systems are statements by the Client to the U.S. Government. GCA explains each one in plain language and prepares the entries from the Client's information, but does not certify on the Client's behalf and does not provide legal advice. The Client remains solely responsible for all representations it makes to government agencies.
11.1 Package Fees. Each Package is priced in euros or U.S. dollars, and the invoice states which applies. Each Package Fee is one price for the whole Package. GCA does not price, itemize, or invoice the services in a Package separately.
| Package | EUR | USD |
|---|---|---|
| NCAGE and SAM | €1,500 | $2,000 |
| Full USG Registration | €2,500 | $3,000 |
| Pre-Engagement Registration (credited under 11.4) | €4,500 | $5,000 |
11.2 Payment. GCA issues a proforma invoice for the Package ordered. The Client pays it in full by bank transfer to the account stated on the invoice, quoting the invoice number. GCA does not accept card payments for Registration Services. Each proforma invoice, including the terms, conditions, and pricing it states, is valid for seven (7) days from its date of issue. After that period, terms, conditions, and pricing may change, and GCA may issue a new proforma invoice at the prices then in force.
11.3 Temporary access while funds clear. When the Client sends GCA its bank confirmation of the transfer (for example, an MT103), GCA will open temporary GCA Arsenal access and the Registration Intake for up to ten (10) days while the funds clear, so the Client can begin providing its documents. Temporary access becomes full access on the Payment Date. If cleared funds have not arrived within those ten (10) days, GCA may suspend temporary access until they do.
11.4 Pre-Engagement credit. The full Pre-Engagement Package Fee is credited against any single Engagement Fee that GCA invoices to the Client within the Credit Window. The credit:
The NCAGE and SAM and Full USG Registration Package Fees are not credited against any Engagement Fee unless both Parties agree otherwise in writing.
12.1 Net to GCA. Package Fees exclude value added tax, sales tax, and withholding tax. GCA must receive the full invoiced amount. If the law requires the Client to withhold tax from a payment, the Client will increase the payment so that GCA receives the full invoiced amount after withholding, pay the withheld amount to the tax authority on time, and send GCA the official withholding tax certificate or receipt within thirty (30) days of payment. The Client pays all bank, transfer, and intermediary bank charges.
12.2 VAT. GCA does not charge VAT on Registration Services. Where reverse charge rules apply, the Client accounts for any VAT due in its own country.
12.3 Tax documents. On request, GCA will give the Client, without charge, the tax documents that GCA reasonably can, to help the Client apply any reduced rate or exemption under a tax treaty. These may include written confirmation of GCA's U.S. federal tax classification and a certificate of good standing from the Wyoming Secretary of State. GCA does not undertake to obtain a certificate of tax residency (IRS Form 6166). Where the Client cannot apply a treaty rate without one, Section 12.1 applies. GCA will also answer reasonable written questions about the services to support the Client's tax review. Each Party is responsible for its own tax filings, and neither Party gives the other tax advice.
Full details are in the Refund and Cancellation Policy.
14.1 For material breach. Either Party may end these Registration Terms by written notice if the other Party materially breaches them and does not cure the breach within fifteen (15) days of written notice describing it.
14.2 If the Client ends them for GCA's breach, GCA will refund, within ten (10) business days, the Package Fee less the published fee of the largest smaller Package whose services GCA has fully delivered. If GCA has not fully delivered any smaller Package, GCA refunds the Package Fee in full.
14.3 If GCA ends them for the Client's breach, or because the Client provides false or misleading information, fails to respond for thirty (30) days, fails GCA's client due diligence, breaches Section 7 or 8, or engages in illegal or unethical conduct, fees paid are not refunded.
14.4 If GCA stops for any other reason before the services in the Package are complete, GCA will refund the Package Fee in full.
Processing times are set by government offices and National Codification Bureaus, not by GCA. Any timeline GCA gives is an estimate.
All registrations, codes, and identifiers belong to the Client. The Client's own personnel hold every administrator role. Where a Government System allows GCA to hold a Data Entry role for the Client, GCA acts only on the Client's instructions. At the end of the services, or at any time on written request, GCA will remove its own user access within five (5) business days.
Each Party keeps the other's non-public information confidential, uses it only to perform or receive the services, and shares it only with its own personnel and advisers who need it and are bound by confidentiality. This does not apply to information that is public, already known to the receiving Party, or required to be disclosed by law. The Client agrees that registration requires GCA to submit Client information, including personal data of its points of contact and owners, to the Government Systems, and that each Government System processes that information under its own rules. GCA handles personal data under its Privacy Policy, Data Protection Policy, and, for individuals in the European Economic Area, its GDPR Privacy Notice.
To the maximum extent permitted by law, each Party's total liability to the other arising out of or relating to these Registration Terms is limited to the Package Fee paid. Neither Party is liable to the other for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost contract opportunities, or delays caused by government processing. These limits do not apply to the Client's obligation to pay the Package Fee, to either Party's fraud, or to any liability that cannot be limited by law.
GCA is an independent contractor. Nothing in these Registration Terms makes either Party the agent, partner, or employee of the other. GCA has no authority to sign, certify, or make any commitment on the Client's behalf.
These Registration Terms, and any non-contractual obligation arising from them, are governed by the laws of England and Wales. The Parties will first try to resolve any dispute through good-faith discussion between senior representatives for thirty (30) days. Any dispute not resolved in that time is finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules in force when the arbitration starts. The seat is Singapore, there is one arbitrator, and the language is English. This is the same baseline as GCA's Contract Capture and Support Agreement.
GCA keeps a record of each order, including the Package ordered, the Order Form if any, the invoice, the version of these Registration Terms in force, and the Payment Date. Either Party may ask for a copy of that record.
GCA Arsenal access does not renew automatically. Before the Access Year ends, GCA will tell the Client its options, which may include a new Package or an Engagement.
GCA may update these Registration Terms from time to time. The version in force on the Payment Date governs that order. An Order Form names the version it incorporates, and that version governs that order. Updated versions apply only to orders paid after they are published.
